These Terms of Service (“Terms”) govern your access to and use of the Site, including any pages, forms, and materials made available through the Site (including links to a downloadable overview PDF). By accessing or using the Site, you agree to these Terms.


1) Who We Are and What the Site Is

The Site is an informational website describing Chef Shotz — Restaurant Visual Ops. The Site may include calls-to-action to request information, book a call, or access a forwardable overview document.

Important: The Site itself does not constitute an offer to provide professional services on specific terms. Any services (if agreed) are provided only under a separate written agreement (e.g., a Statement of Work, Master Services Agreement, or similar) (“Services Agreement”). If there is any conflict between these Terms and a Services Agreement, the Services Agreement controls for that engagement.


2) No Professional Advice; No Certification

Information on the Site is provided for general informational purposes only and is not legal advice, regulatory advice, or professional certification.

Chef Shotz is a human-led menu image QA and visual governance service that may, under a Services Agreement, provide:

  • diagnostic scoring and risk classification (e.g., Green/Yellow/Red risk mapping),

  • standards and governance design (e.g., rulebooks, checklists, workflows),

  • advisory review and recommendations.

Chef Shotz does not:

  • provide legal advice or rights clearance,

  • certify compliance with any platform, law, or regulation,

  • guarantee platform approvals, takedowns avoidance, or outcomes (commercial or otherwise),

  • act as the “publisher of record” for client content.

You should consult qualified professionals (legal, regulatory, IP/licensing, etc.) for advice specific to your situation.


3) Platform Policies Change; No Guarantees

Delivery platforms and other channels (e.g., Uber Eats, DoorDash, Skip, websites, social platforms) change policies and enforcement practices. Any references to “platform-safe,” “aligned,” or similar language describe a risk-reduction intent, not a guarantee.

To the maximum extent permitted by law:

  • the Site and its content are provided “as is” and “as available,” and

  • we disclaim all warranties, express or implied, including warranties of accuracy, fitness for a particular purpose, and non-infringement.


4) Your Use of the Site (Acceptable Use)

You agree not to:

  • use the Site in violation of any applicable laws,

  • attempt to gain unauthorized access to any systems, accounts, or data,

  • interfere with or disrupt the Site or its security features,

  • scrape, harvest, or collect data from the Site without permission,

  • use the Site or its materials to create competing or derivative products that replicate our proprietary frameworks (see Section 6).

We may suspend or block access to the Site if we believe you are violating these Terms.


5) Downloadable / Linked Materials (Overview PDF)

The Site may provide a link to a view-only or downloadable overview PDF (the “Materials”). Unless otherwise stated in writing, you may:

  • download and print the Materials for your internal evaluation and internal stakeholder review, and

  • share the link internally within your organization.

You may not, without our prior written consent:

  • post the Materials publicly (e.g., on websites, public forums, social platforms),

  • redistribute the Materials to third parties outside your organization,

  • remove any branding, notices, or attributions,

  • translate, adapt, or create derivative works from the Materials,

  • use the Materials as templates to reproduce our proprietary frameworks commercially.

All rights not expressly granted are reserved.


6) Intellectual Property

The Site and its content—including text, visuals, layout, templates, scorecards, frameworks, and terminology—are owned by Chef Shotz or its licensors and are protected by copyright, trademark, and other laws.

Proprietary frameworks: “Menu Truth Index (MTI),” “Risk Map,” “Visual Truth Standard,” “Visual Governance Office,” “MVIR (Menu Visual Incident Response),” and “EGS (Expectation Gap Signals)” are part of our proprietary methodology. Use of these concepts or documents does not grant you a license to replicate, commercialize, or productize the methodology unless expressly agreed in writing.

Trademarks: “Chef Shotz” and associated marks may be used as trademarks. If you see “TM,” it indicates a claim of trademark rights (registered or unregistered).


7) Inquiries, Demos, and Calls

If you submit information through the Site (e.g., contact forms, booking requests), you agree that:

  • you are providing accurate and non-misleading information to the best of your knowledge, and

  • you have authority to share the information you provide.

Submitting an inquiry does not create a client relationship. No relationship is formed unless and until a Services Agreement is signed by both parties.


8) Client Responsibilities (If You Engage Us Under a Services Agreement)

If you later engage Chef Shotz, the following principles apply (and will be reflected in your Services Agreement):

You (the client) own and control publication. You are responsible for:

  • final decisions to upload/publish content,

  • compliance with platform policies and applicable laws,

  • confirming accuracy/truthfulness of claims about products,

  • ensuring you have rights/licenses to any assets you provide (photos, graphics, copy, brand materials).

Chef Shotz provides advisory governance and recommendations. We:

  • identify risk and inconsistency patterns,

  • recommend best practices and corrective actions,

  • design standards and workflows.

We do not assume responsibility for platform approvals, enforcement decisions, or commercial outcomes.


9) Confidentiality and Data Handling (Site Context)

For Site use, we do not request sensitive information. If you voluntarily provide materials (e.g., menus, image sets, incident summaries) before any Services Agreement is signed, you agree that:

  • you are authorized to share them, and

  • you will not provide information you are not permitted to share.

If a Services Agreement is executed, confidentiality and data handling terms will be governed by that agreement. In general, we operate on a least-privilege basis (time-bounded access where practical) and can work from exports if shared access is not preferred.

10) Third-Party Links and Tools

The Site may link to third-party sites (e.g., Google Drive) or reference third-party platforms. We do not control these third parties and are not responsible for their content, availability, or policies. Your use of third-party services is subject to their terms.


11) Limitation of Liability

To the maximum extent permitted by law, Chef Shotz will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, goodwill, business opportunity, or data, arising from or related to:

  • your use of (or inability to use) the Site,

  • reliance on information on the Site,

  • any third-party platforms’ actions, policies, or enforcement decisions.

If liability cannot be excluded, then to the maximum extent permitted by law, our total liability for any claim related to the Site will not exceed CAD $100.

(Engagement-specific liability terms, if any, will be addressed in a signed Services Agreement.)


12) Indemnity

You agree to indemnify and hold harmless Chef Shotz from and against claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to:

  • your misuse of the Site or Materials,

  • your violation of these Terms,

  • any allegation that materials you provided infringed third-party rights or were unlawfully obtained or shared.


13) Changes to the Site and These Terms

We may update the Site and these Terms at any time. The “Effective date” will be updated when changes are posted. Your continued use of the Site after changes become effective constitutes acceptance of the updated Terms.


14) Governing Law and Venue

These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada. You agree that any dispute related to these Terms or the Site will be brought in the courts located in Ontario, Canada, unless otherwise required by law.
